This is an action brought in the District Court of Shawnee County by the plaintiff in error, to recover from the defendant in error the sum of $500. Briefly stated, the essential allegations of the petition are, that the Topeka Manufacturing Company is a corporation duly organized under the laws of this State for the purpose of the transaction of a manufacturing, mechanical, mercantile and agricultural implement business; that its capital stock is divided into one thousand shares of the par value of $100 each; that the defendant is the owner and holder of ten of these shares, by virtue of an…
