I. INTRODUCTION

Plaintiffs, Liberty Media Corporation and certain of its subsidiaries (collectively, “Liberty”), sued defendants, Vivendi Universal, S.A. and Universal Studios, Inc. (collectively, ‘Vivendi”), alleging violations of federal securities law and breach of express warranty under New York state law. In particular, Liberty sued Vivendi for violations of Section 10(b) of the Securities Exchange Act of 1934 and Securities and Exchange Commission (“SEC”) Rule 10b-5 (collectively, “Section 10(b)”).
