OPINION
DUGGAN, District Judge.
I. Background
On August 23, 1993, plaintiff sought in-junctive and other equitable relief against defendants for their activities from June through December of 1989, during which time they raised $1,423,000 from eighteen investors through the offer and sale of Euro-bond Exchange Ltd. a/k/a EuroGold and Bond Exchange Ltd. a/k/a EBX Trust A.G. (“Eurobond”) investment. From these sales, defendants received commissions totalling $96,310.
