OPINION AND ORDER

SESSIONS, District Judge.

Plaintiffs Howard Opera House Associates (“HOHA”) and O’Neill Crawford & Green, P.C. (“OC & G”) sued Defendant Urban Outfitters, Inc. (“Urban Outfitters”) in Chittenden Superior Court claiming nuisance and breach of contract, and sought a temporary restraining order and preliminary injunction. Urban Outfitters filed for removal to this Court on the basis of diversity jurisdiction. Urban Outfitters filed several counterclaims (paper 15) and amended counterclaims (paper 28), which Plaintiffs moved to dismiss. OC & G’s Motion to Dismiss two counterclaims…
