The referee certifies, upon the petition for review of W. O. Howard, trustee, the following facts:
Prior to September 9, 1914, W. C. Baker and L. E. Edwards, as co-partners under the firm name and style of Baker & Edwards, conducted in Tarboro, N. C., a mercantile business. On September 9, 1914, L. E. Edwards, for a valuable consideration, assigned and transferred his interest in said firm and its property to Selma K.
