LOKEN, Circuit Judge.

In this case the Secretary of Labor urges us to conclude that controlling stockholders *663and directors of Feilen Meat Company (“FMC”), and the company’s accountants, breached their fiduciary duties under ERISA1 when they engaged in complex financial transactions that destroyed the company, thereby wiping out the employees’ stock ownership plan. The Secretary appeals the district court’s judgment that defendants committed many breaches of fiduciary duty but did not cause money damage to the plan.
