WINTER, Circuit Judge:

Jesse Litvak appeals from his conviction, after a trial by a jury before Chief Judge Hall, on one count of securities fraud pursuant to 15 U.S.C. §§ 78j(b), 78ff. This is the second time this matter has been before us. In the first appeal, see *59 United States v. Litvak , 808 F.3d 160 (2d Cir. 2015) (" Litvak I "), appellant challenged his convictions on ten counts of securities fraud and various other counts of fraud and false statements. We reversed the convictions for fraud and false statements. We vacated the securities fraud counts and remanded them for a new trial.…
