Appellants Roger Wilder and Dennis Kelley are residents of Boone County, Kentucky. Appellee Absorption Corporation is a Nevada corporation whose principal place of business is in Bellingham, Washington. Wilder’s principal and longtime occupation is that of a manufacturer’s representative in the automotive aftermarket business. Operating as “d/b/a R.
