MEMORANDUM OPINION AND ORDER

Before the Court is Defendants’ Motion to Dismiss under Federal Rules of Civil Procedure 12(b)(1), 12(b)(6), 9(b), and 17. For the following reasons, the Motion to Dismiss is granted in part and denied in part.

I. BACKGROUND
