Before the Court is the Motion of Arvi-da/JMB Partners (“Partners”) and Arvida Realty Sales (“Sales”), defendants in the above-captioned adversary proceeding (Partners and Sales are together referred to as “Movant”) to Dismiss Complaint for Injunc-tive Relief and Damages or, in the alternative, Motion for Abstention (the “Motion”). 1 Movant urges this Court to dismiss the Complaint for lack of subject matter jurisdiction and for failure to state a claim upon which relief can be granted.
