In an opinion dated May 30, 1984, 1 with which familiarity is assumed, this Court dismissed all of plaintiff’s claims except his charge that a five year consulting agreement between David Fain Brown and Apex Oil Company (“Apex”) in fact was not a consulting agreement but payment for services rendered by Brown in effecting the merger of Enterprise Development Group (“EDG”) and a subsidiary of Apex.
