This is an appeal from a judgment of the United States District Court for the Eastern District of Arkansas1 in favor of appel-lee, Grady-Gould Watershed Improvement District of Jefferson, Lincoln and Desha Counties, Arkansas (Grady-Gould), against appellants, Transamerica Insurance Company (Transamerica) and James L.
