FINDINGS OF FACT, CONCLUSIONS OF LAW, AND ORDER

CARRIGAN, District Judge.

THIS ACTION involves the alleged breach of a sales contract for air pollution control equipment. The plaintiff, Colorado-Ute Electric Association, Inc. (Colorado-Ute) was the buyer and the defendant, Envirotech Corporation’s Buell Division (Buell) was the seller. Jurisdiction is based on diversity of citizenship under 28 U.S.C. § 1332. This opinion constitutes my findings of fact, conclusions of law and order.
