This lawsuit has its genesis in discussions which took place in 1962 and 1963 between representatives of Phillips Petroleum Company, the defendant herein, and Prudential Oil Corporation, a Connecticut corporation (Prudential Connecticut), concerning the development of an oil refinery in Puerto Rico to aid in the expansion of industry there, particularly the manufacture of petrochemicals.
