This matter came on for trial of the Complaint for Declaratory Judgment filed by Halart, L.L.C. (“Halart”) 1 against In dependent Auto Warehouse, Inc. (“IAW”) and upon the Counterclaim of IAW against Halart. This constitutes the findings of fact and conclusions of law of this Court pursuant to Federal Rule of Bankruptcy Procedure 7052.
