| jThis case involves a dispute between Defendant-Appellant, Gulf Coast Coil Tubing & Nitrogen Services, Inc. (Gulf Coast), and two officers/shareholders of the company, Plaintiffs/Appellees, David Guidry (Guidry) and Carl Guidroz (Guidroz). The plaintiffs were also directors and employees of the company. Dissatisfied with their performance, Gulf Coast fired Guidry and Guidroz and amended its Articles of Incorporation to provide for the redemption of the stock owned by the two men.
