OPINION ON MOTION TO DISMISS FOR LACK OF PERSONAL JURISDICTION

At issue is whether a Liberian corporation, which is both a chapter 11 debtor and the indirect owner of a majority interest in a Greek limited partnership, may vest this court with personal jurisdiction over the limited partnership on the theory that the partnership is a mere department of the debtor.
