This case arises out of a dispute concerning the number of shares defendant/plaintiff-in-counterclaim Allen Sneider (Sneider) holds in plaintiff/defendant-in-counterclaim Karmaloop, Inc., the successor entity to Karmaloop, LLC. (The plaintiff will be referred to as Karmaloop or the company and distinctions between the corporation and the LLC will be identified only when necessary.)
