The plaintiffs-appellants [hereinafter “plaintiffs”] in these two securities fraud actions appeal the district court’s order granting the motion by the defendants-ap-pellees to dismiss under Federal Rule of Civil Procedure 12(b)(6). 1 For the follow ing reasons, we affirm the district court’s decisions.
