Pending before the Court are the motions for summary judgment filed by plaintiff, Exchange Bank (“Exchange”), defendant, Office of Thrift Supervision (“OTS”), and interve-nor/defendant, American Bank of Oklahoma.

The material facts in this case are not disputed. In June 1997, a group of individuals (“organizers”) applied to the OTS for permission to organize a federal savings association under the name of American Bank of Oklahoma (“American”).
