OPINION
GOETTEL, District Judge:
This putative class action charging securities fraud arises from the unsuccessful attempt by Combustion Equipment Associates, Inc. (“CEA”) to develop a process for *767converting garbage into a high heat-value fuel called ECO-FUEL II. The plaintiff alleges that at some point between 1972 and 1975 the defendants became aware that the process for producing ECO-FUEL II was not economically viable and that they falsely inflated (or supported) the market price of CEA stock by failing to disclose this information.
