OPINION

{¶ 1} Appellant, Hotel Innovations, Inc. ("Innovations"), appeals from the judgment of the Common Pleas Court of Montgomery County following a bench trial, wherein the court found in favor of Appellee, MTH Real Estate, LLC, ("MTH"), on Innovation's claims of breach of contract and fraud.

{¶ 2} The following facts underlying this appeal are set out in the trial court's July 11, 2006 decision and verdict; they are not in dispute:
