OPINION

The Motion before us requires us to consider the proper standards to be applied in determining whether a pre-confirmation sale of virtually all of the assets of a Chapter 11 debtor should be authorized. We hold that the recent decision of the Court of Appeals in In re Abbotts Dairies of Pennsylvania, Inc., 788 F.2d 143 (3d Cir.1986), effectively overrules the prior holding of the court in In re Solar Mfg. Corp., 176 F.2d 493 (3d Cir.1949), that such a sale will be allowed only in “emergencies.” However, we hold that such a sale can be permitted only…
