MEMORANDUM AND ORDER

CROW, District Judge.

On March 4, 1994, Hall-Kimbrell, a Delaware corporation with its principal place of business in Kansas, commenced this breach of contract diversity of citizenship action against the Archdiocese of Detroit (Archdiocese), an ecclesiastical corporation established and existing under the laws of the State of Michigan. On March 16,1994, HallKimbrell filed an amended complaint.
