Plaintiff Gregory S. Boesel was a founder and former CEO of Swaptree, Inc., a corporation that facilitated online trades of consumer goods (mostly electronics). The individual defendants, Jeffrey Bennett, Daniel Curtis, Erik Rasmussen, Mark Mitchell, and Marty Cagan, were all directors and/or executives of Swaptree (Bennett served as Swaptree’s CEO, Curtis served as CFO, while Rasmussen, Mitchell, and Cagan formed Swaptree’s Compensation Committee of the board of directors).
