SWEET, District Judge.
Defendant Stuart Becker & Co., P.C. (the “Becker Defendants”) has moved to dismiss the plaintiffs’ Second Amended Complaint for failure to plead fraud with particularity pursuant to Federal Rules of Civil Procedure, Rule 9(b) and for failure to state a claim upon which relief may be granted pursuant to Federal Rules of Civil Procedure, Rule 12(b)(6).
