STATEMENT OF CASE

WOODS, District Judge.

Red Lobster Inns of America is a Florida corporation and a wholly owned subsidiary of General Mills. It owns and operates 263 American restaurants, specializing in sea-foods, the largest chain of this kind in the country. It constructs, owns and operates these restaurants with its own personnel. The last few years have seen a rapid expansion of its outlets. Before beginning operations in a given location, it makes an extensive market and site survey.
