PARKER, Circuit Judge:

Plaintiffs Marilyn Olkey et al., a group of investors, brought a class action against Hyperion 1999 Term Trust, Inc. et al. seeking damages for fraud in issuing and using prospectuses to market mortgage-backed securities, in violation of Sections 11, 12(2), and 15 of the Securities Act of 1933 (“the 1933 Act”), 15 U.S.C. §§ 77k(a), 771(2), and 77o; and Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 (“the 1934 Act”), 15 U.S.C. § 78j(b), SEC Rule 10b-5, 17 C.F.R. § 240.10b-5, and 15 U.S.C. § 78t(a).
