DALZELL, District Judge.

Plaintiffs in this diversity action, Steven Perilstein, Mareie Perilstein, Ettie Perilstein, and Max Perilstein, were formerly shareholders of Perilstein Distributing Corporation, a Pennsylvania corporation whose principal place of business was in Pittsburgh. In 1999, the Perilsteins sold the family corporation to defendant United Glass Corporation (“UGC”), a Georgia corporation whose principal place of business is in Louisville, Kentucky.
