I. INTRODUCTION

On December 13, 2002, plaintiffs filed the instant complaint alleging six causes of action: (1) breaches of fiduciary duty, in violation of the Employee Retirement Income Security Act (“ERISA”), 29 U.S.C. §§ 1104(a)(1)(A), (B), and (D) (First, Second, and Fifth causes of action); (2) engaging in a prohibited transaction, in violation of ERISA, 29 U.S.C. § 1106 (Third cause of action); (3) co-fiduciary liability for knowingly participating in and failing to remedy the breaches of fiduciary duty, in violation of ERISA, 29 U.S.C. §…
