OPINION

SWEET, District Judge.

Defendant Andrew J. McKelvey (“McKelvey”) has moved under Rule 12(b)(6) and Rule 9(b), Fed.R.Civ.P., to dismiss certain of the claims against him in the amended complaint of plaintiff EED Holdings alleging that the corporate veil shielding defendant Palmer Johnson Acquisition Corp. (“PJAC”) should be pierced and that McKelvey committed fraud. For the reasons set forth be*510low, the motion is granted, and the allegations stricken.
