I. INTRODUCTION
Plaintiffs-Appellants, the City of Long Beach and the State of California, (“appel*199lants”), brought suits in 1975 against seven major oil companies in California,1 (“appellees”), alleging that appellees had engaged in an illegal price-fixing conspiracy in violation of the federal and state antitrust statutes and also that appellees breached the Contractors’ Agreement.
