Defendants Occidental Petroleum Corporation (“Occidental”), OPCO Acquisition Corporation (“OPCO”) and MidCon Corp. (“MidCon”) have moved pursuant to Fed.R. Civ.P. Rule 12(b)(6) to dismiss the Amended Complaint (the “Complaint”) of plaintiffs Metropolitan Securities (“Metropolitan”) and Duncan C. Crawford (“Crawford”) (together “Metropolitan”) for failure to state a claim on which relief can be granted.
