MEMORANDUM OPINION

This is a diversity action between two international companies accusing each other of various breaches of contract arising out of their business dealings overseas. 1 Specifically, the plaintiff, Sallyport Global Services, Ltd., which is a Bermuda company, has asserted in four claims that the defendant, Arkel International, LLC, breached a Joint Venture Agreement for a construction project in South Sudan, as well as breached agreements for services provided by the plaintiff in Iraq.
