CAYCE, Chief Justice.

I. Introduction and Background

This case raises numerous lien priority and breach of contract issues, primarily arising out of two loan transactions between appellee Leisure Lifestyles, Inc. (Leisure) and appellant World Help’s predecessor, Church and Institutional Facilities Development Corporation (C & I). We affirm in part, reverse and remand in part, and reverse and render in part.
