Introduction

Appellants (referred to collectively as “Lindsay”) appeal the judgment of the trial court entered after a bench trial. The individual parties to this appeal, Daniel McGuire (“McGuire”), James Lindsay (“Lindsay”), and Susan Gray (“Gray”) are the sole Members of MAC Meetings & Events, L.L.C. (“MAC”), The trial court found that Lindsay and Gray, in their capacity as Managers1 of MAC, breached MAC’s Operating Agreement by hiring Lindsay as a salaried employee.
