Scott and other milk producers filed suit in Putnam County against Atlanta Dairies, a corporation with its principal office in Fulton County, for the redemption of preferred stock issued by the corporation, seeking to recover alternatively for breach of contract, waiver of original terms, money had and received and fraud. Jurisdiction and venue were alleged to be in Putnam County because the agreements were entered into there.
