This is an action for rescission of an executed contract for. the purchase and sale of all of the issued and outstanding stock of the Anglo-Dutch Trading Corporation. The essential facts are comparatively simple. Plaintiff Hanley Company, Inc., entered into a contract in writing with the defendants for the purchase from all of them of 560 shares of preferred stock and 1,650 shares of common stock, which was all of the issued and outstanding capital stock of the Anglo-Dutch Trading Corporation.
