MEMORANDUM OPINION AND ORDER
RICHARD J. HOLWELL, District Judge.
In this action, plaintiff Credit Suisse First Boston LLC (“CSFB”) sues to enforce the indemnification clause of its September 28, 2000 underwriting agreement (the “Agreement”) with defendant Inter-shop Communications AG’s (“Intershop”) relating to the initial public offering (the “IPO”) of Intershop’s American Depository Shares. CSFB seeks thereby to recover legal fees and expenses incurred in the successful defense of a securities class action lawsuit (the “Class Action”) filed in connection with the IPO.
