OPINION
Plaintiff and counterclaim defendant, City Capital Associates ("City Capital”), brings this motion for a preliminary injunction against Interco Incorporated (“Inter-co”), the Attorney General of the State of Delaware, Charles M. Oberly, III, and the Secretary of State of Delaware, Michael E. Harkins, to enjoin the application and enforcement of the Delaware Business Combinations Statute, 8 Del.
