MEMORANDUM

I. INTRODUCTION

Two matters are before the Court: 1) the Motion to Convert Case to Chapter 13 filed by Jane Povah (the “Debtor”); and 2) the Motion to Dismiss Adversary Complaint pursuant to Fed.R.Civ.P. 12(b)(1), which is made applicable to the adversary proceeding by Fed. R. Bankr.P. 7012(b), filed by Hansbury and Finn, Inc. (the “Defendant”). The Defendant objected to the Motion to Convert Case to Chapter 13, and the Debtor objected to the Motion to Dismiss Adversary Complaint. The Court heard both motions on July 25, 2011.
