Action to recover the amount of a judgment obtained against the Syracuse Bamboo Furniture Company for goods sold and delivered to it by the plaintiff, upon the ground that the defendants, directors of such corporation, failed to make and file a report, as required by chapter 688 of the Laws of 1892, and were in default when the goods were so sold and delivered.

The plaintiff is a foreign stock corporation, organized under the laws of the state of New Jersey, and has its principal office and place of business in the city of Newark in that state. Between the 24th day of September, 1892, and the 21st day of January, 1893, the plaintiff sold and delivered to the Syracuse Bamboo Furniture Company, a domestic manufacturing corporation, having its office and principal place of business at Baldwinsville, N.
