JACOBS, Vice Chancellor.

The plaintiffs, who hold common shares of Asbestos Corporation Limited, a Canadian corporation, (“ACL”), bring this action individually and on behalf of a class of ACL shareholders allegedly injured by certain transactions that occurred between 1982 and 1986, and were related to the acquisition of ACL’s corporate parent by the Province of Quebec. The plaintiffs named as defendants General Dynamics Corporation, a Delaware corporation (“General Dynamics”), and three of its directors.
