This is an appeal from an order denying a motion to dismiss the complaint for failure to state a cause of action. The motion was denied and the action referred and stayed pending this appeal. The appeal involves the General Corporation Law (Consol. Laws, chap. 23 [Laws of 1909, chap.3 28], §§ 90,'91).
