This action arises out of three contracts allegedly binding plaintiff, White River Valley Broadcasters, Inc., the licensee of radio station KBTA in Batesville, Arkansas, to buy certain prerecorded music and other program materials from defendant, William B. Tanner Co., which is a citizen of Tennessee for diversity purposes. White River brought suit in the Chancery Court of Independence County, Arkansas, for a declaratory judgment that the contracts were not enforceable against it, on the theory that Roy A.
