MEMORANDUM OPINION AND ORDER
BARRY S. SCHERMER, Bankruptcy Judge.
INTRODUCTION
This case involves issues arising from a confirmation hearing of the First Amended and Restated Plan of Reorganization (the “Plan”) filed by a group of six persons (the “Proponents”) 1 . During a hearing on November 29,1990, the parties, by agreement, presented only their arguments on all questions of law relating to plan confirmation except for those under Section 1129(a)(ll).
