Respondents in this CPLR article 75 special proceeding are several members of the Conk family and a related trust, who formerly held the majority of shares in petitioner Day Dream, Inc., an Indiana corporation. Repercussions from the sale of the stock by these former shareholders to petitioner Cullman Ventures, Inc., a New York corporation, and an agreement by the reconstituted corporation to employ one of the former shareholders, resulted in the commencement of arbitrations and civil actions in Indiana and New York.
