This appeal presents two issues relating to the sale of a steel processing business. The first issue is whether the buyer is entitled to summary judgment on the seller’s claim that a contractual cap on the extent of the buyer’s assumption of liability for the seller’s accounts payable should be reformed on the ground that the parties were mistaken as to the likely amount of payables at the time of the sale.
