Appeal from a judgment of the Appellate Division of the Supreme Court in the fourth judicial department, entered May 22, 1913, affirming a judgment in favor of plaintiff entered upon a verdict directed by the court. The complaint fails to state facts from which fraud can he found or inferred, and the mere general allegations of fraud are of no value as stating a cause of action.

This action is brought by the plaintiff as the receiver of the Oanadaway Fertilizer Company, an insolvent corporation, against the defendant, who is a director of the company, to recover upon a stock subscription.
