OPINION
SNYDER, District Judge.
This matter is before the Court on the defendants’ Motion for Summary Judgment pursuant to Rule 56 of the Federal Rules of Civil Procedure. The action involves an agreement for the sale of real estate located in the State of New York in which the defendants, residents of Pennsylvania, were the sellers, and the plaintiffs’ assignee, a resident of Illinois, was the purchaser.
